TERMS OF USE  

The following describes the terms on which TeamBiz ("We" or "Us") offers you access to TeamBiz Website, (including TeamBiz.org and TeamBiz.ca), platform and services.

 

TeamBiz provides its website, platform and services (collectively, "Services") to you subject to the terms of service set forth in this Terms of Service Agreement (the "Agreement"). A statement of our privacy policy may be found here.

This Agreement is a legal contract between you and TeamBiz. By registering for or using the Website or any of our Services, you agree that you have read and understand these terms and you agree to be bound by them. If you do not agree to these terms, do not use or otherwise access TemBiz Services.

We reserve the right, in our sole discretion, to modify this Agreement at any time. Modified terms are effective as soon as they are posted. We also reserve the right to waive or modify any of these terms as they apply to a specific posting or member without affecting the application of these terms to all other postings and members. Your continued use of the Community, or any materials or services accessible through it, after modified terms are posted means you accept the modifications.

 

Usage

You must use TeamBiz Services in a manner consistent with any and all applicable laws and regulations. Illegal and/or unauthorized uses of the Services may be investigated by TeamBiz and/or by appropriate law enforcement entities, and appropriate legal action may be taken, including without limitation, civil, criminal, and injunctive penalties against you.

You acknowledge and agree that we may establish general practices and limits concerning the use of our Services. You agree that we have no responsibility or liability for the storage or the deletion of, or the failure to store or delete, any of Your Information. You acknowledge that we reserve the right to suspend Members who are inactive for an extended period of time. In addition, you acknowledge that we reserve the right to change these general practices and limits at any time, in our sole discretion, with or without notice. 

Registration 

Use of the public areas of TeamBiz Website is available to any individual without registration. In order to interact with TeamBiz, including posting a comment, a user must register to become a Member in our community. As used in this Agreement, the term “User” refers to any User who has not registered to participate in the TeamBiz Community.

Membership in TeamBiz is available to any individual at least 18 years of age residing in Canada and that owns a business registered in Canada.

As used in this Agreement, the term “Member” refers to any User who has registered with TeamBiz. 

You may not have a user name that is vulgar, attempts to impersonate another person or violates the rights of others, including the intellectual property rights of any person or entity. We also may reject any user name that we determine in our discretion is unacceptable for use on TeamBiz Website.

The information you provide to register as a Member and to create your profile must be accurate and complete, and you agree not to register under the name of another person or otherwise impersonate any other person, including any TeamBiz user, member or any public figure. If, after investigation, TeamBiz has reasonable grounds to suspect that your information is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and prohibit future use of TeamBiz Services.

We explicitly disclaim liability for any and all losses and damages arising from your failure to comply with this section.

We have the right, in our sole discretion, to suspend or terminate your use of our Services and refuse any and all current or future use of all or any portion of our Services.
 

Password and Security

When you complete our registration you will create a password that will enable you to interact with TeamBiz. You agree to maintain the confidentiality of your password, and are fully responsible for all liability and damages resulting from your failure to maintain that confidentiality and all activities that occur through the use of your password. You agree to immediately notify us of any unauthorized use of your password or any other breach of security. You agree that TeamBiz cannot and will not be liable for any loss or damage arising from your failure to comply with these rules.

 

Your Information 

Any content that you submit, including, but not limited to, data, text, messages, files, documents, images, photographs, videos, audiovisual works, musical compositions, sound recordings, postings, your and/or other persons' names, likenesses, voices, user names, profiles, actions, appearances, performances and/or other biographical information or material, and any other materials, is refered as "Your Information".

Your profile information, as well as any of Your Information that, through the use of our Website or otherwise, you submit or make available for inclusion on publicly accessible areas of our website is referred to as "Public Information;" any other portion of Your Information shall be referred to as "Private Information."

Publicly accessible areas of our website are those areas that are available either to some or all of our Members (i.e., not restricted to your viewing only) or to the general public.

Your Public Information may be accessible by and made public through syndication programs and by search engines, metasearch tools, crawlers, metacrawlers and other similar programs.

You agree that Your Information is not fraudulent, does not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; does not violate any law, statute, ordinance or regulation, is not defamatory, trade libelous, unlawfully threatening or unlawfully harassing; is not obscene or contain, pornography, child pornography, or photographs of unclothed person(s); does not contain any viruses, Trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; does not create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers; does not link directly or indirectly to any materials to which you do not have a right to link to or include.

In addition, you agree to provide us with your valid, current email address, both at the time of your registration with us and from time to time as your email address changes. You agree further that Your Information not be used by you for commercial activity, sales of goods or services, or promotion of a company, good, or service unrelated to the topic or spirit of the TeamBiz Website. You shall be solely responsible for the disclosure of any information you enter into publicly accessible areas of the Website, whether or not it was your intention to do so.

TeamBiz may disclose Your Information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to comply with a current judicial proceeding, a court order or legal process served on us or our website; to enforce the Terms of Service Agreement; respond to claims that Your Information violates the rights of third parties;  protect the rights, property or personal safety of TeamBiz employees, users and the public.

 

 

Personal Responsibility

You are solely responsible for your use of the TeamBiz Services. You are responsible for keeping your password confidential. You may use the TeamBiz Website for lawful purposes only.

We take no responsibility and have no liability for any content you or any other user may post. User-posted content does not represent the advice, views, opinions, or beliefs of TeamBiz, and we make no claim of accuracy of any user-posted material.

TeamBiz Website may contain or reference links to third party websites. By accessing the TeamBiz Website or following links to third-party websites, you may be exposed to content that you consider offensive or inappropriate. TeamBiz is not responsible for the content of any third-party website or any link contained in a third-party website. The inclusion of a link within the Website does not imply any endorsement by or any affiliation with Us. Access to any third-party website is at your own risk, and you should be aware that third-party websites may contain terms and privacy policies that are different from TeamBiz. We are not responsible for such provisions and expressly disclaim any liability for them.

In connection with your use of the TeamBiz Services, you may be made aware of services, products, articles, offers, and promotions provided by third parties. If you decide to use these third-party services, you are responsible for reviewing and understanding the terms and conditions governing those services. You agree that the third party, and not TeamBiz, is responsible for performance of the services.

You are also bound by our Usage Rules, please review them carefully and periodically. The Community relies upon its users to identify and report content or conduct that is in contravention of the Usage Rules. Therefore, it is each member's responsibility to report objectionable content by utilizing the "Report as inappropriate" functionality available throughout the Website.
  

 

TeamBiz Meetings 

TeamBiz Website provides tools that enable our Members to arrange group meetings (called "TeamBiz Meetings") at different locations that include, but are not limited to, public parks, private homes or private enterprises (such as coffee shops or retail stores).

We do not supervise these Meetings and are not involved in any way with the actions of any individuals at these Meetings. As a result, we have no control over the identity or actions of the individuals who are present at these Meetings, and we request that our Members exercise caution and good judgment when attending these Meetings. Because we do not supervise or control any Meetings or any other interactions among or between Members and other persons or companies, and because we are not involved in any way with physical transportation to or from these Meetings or with the actions of any individuals at these Meetings, you agree that you bear all risk of attending any TeamBiz Meeting.

TeamBiz and none of its officers, directors, shareholders, agents, employees, affiliates, subsidiaries, third party partners, and their respective designees take no responsibility and have no liability for any claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, now and in the future, arising out of or in any way connected with your transportation to or from, attendance at, or the actions of you or other persons at, an TeamBiz Meeting.

 

Fees and Payments

Access to TeamBiz website and Services is free. We may charge fees for various premium features and services that we offer, and we will notify you of those charges at the time that we offer you the premium features or services. We may, in our sole discretion, and by notifying you on our website, change this policy and begin charging for access to our website and other features and services, and we may, in our sole discretion, add, remove or change the features and services we offer or the fees (including the amount or the type of fees) we charge at any time.

If we introduce a new service, we will establish and notify you of the fees for that service at the launch of the service. If we notify you of new fees or change the fees for an existing service, you agree to pay all fees and charges specified and all applicable taxes for your continued use of the applicable service. We are not responsible for any charges or expenses you incur resulting from being billed by us in accordance with these Terms of Service.

When you attend a TeamBiz Meeting, you may be required to pay for various third party services (such as meeting venue, parking, food, drinks).Third party fees associated with any TeamBiz Meeting are remitted to the Meeting participants, and not to TeamBiz. Participants to TeamBiz Meetings are solely responsible for any dealings, payment and related services, and any other terms, conditions, warranties or representations associated with these Meetings. 

Warnings, Suspensions and Terminations 

TeamBiz Moderators and Editors may communicate with you personally concerning your participation in Teambiz or related matters. Those communications are not intended to be made public, and you agree not to post or otherwise disseminate those communications within TeamBiz or elsewhere, on the Internet or otherwise.

You agree that we, in our sole discretion, may issue a warning, temporarily suspend, indefinitely suspend, remove content or information you have posted, or terminate your status as a Member or your ability to use all or any portion of our Services, for any reason, including, without limitation, for lack of use, if we believe that you have violated or acted inconsistently with the letter or spirit of this Agreement, Usage Rules or other documents or agreements it incorporates by reference, if we are unable to verify or authenticate any information you provide to us, or if we believe that your actions may cause legal liability for you, our users or us. You agree that any termination of your account or access to all or any portion of the Services under any provision of this Agreement may be effected without prior notice, and acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or our Services. Furthermore, you agree that that neither TeamBiz nor the TeamBiz Moderators shall be liable to you or any third party for any termination of your use of or access to all or any portion of the TeamBiz Services.

Your TeamBiz membership and access to the Website may also be immediately suspended or terminated without explanation or prior notice if you:

1. Upload, post, email, or otherwise transmit any computer routines, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

2. Interfere with or disrupt our Services or networks connected to our website or through the use of our Services, or disobey any requirements, procedures, policies or regulations of networks connected to our website or through the use of our Services, or otherwise interfere with our Services in any way, including through the use of JavaScript, active or other coding;

3. Take any action that imposes an unreasonable or disproportionately large load on our infrastructure;

4. Copy, reproduce, alter, modify, or publicly display any information displayed on our website (except for Your Information), or create derivative works from our website (other than from Your Information), to the extent that such action(s) would constitute copyright infringement or otherwise violate the intellectual property rights of TeamBiz or any other third party, except with the prior written consent of TeamBiz or the appropriate third party.

5. Create multiple profiles in the directoy of the same person and different businesses.

6. Submit an article as exclusive that is already or will be published fully or partially in other public on-line or off-line sources including but not limited to websites, newsletters, blogs, magazines, newspapers, books, etc.

7. Use the TeamBiz name to request or charge any payment associated with TeamBiz Meetings or membership.

The following will also lead to suspension or termination of your membership or access to TeamBiz: request by law enforcement or other government agencies, a request by you (self-initiated account deletions), unexpected technical issues or problems.

You agree that in the event of termination of your account or access to all or any portion of the Services you forfeit all your credits and the right to exchange them for any offers presented through TeamBiz.  Furthermore, we reserve the right to take legal action for the recovery of  expenses and damages associated with your breach of agreement to these Terms of Use, and you agree to pay all legal costs incurred by TeamBiz.

 

Rights to Content 

We do not claim ownership of Your Information. We will use your Personally Identifiable Information only in accordance with our privacy policy. However, to enable us to use your Public Information and to ensure we do not violate any rights you may have in your Public Information, you grant TeamBiz a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise, commercialize and exploit all of the copyright, publicity, and database rights (but no other rights) you have in your Public Information, in any media now known or hereafter invented.

 

Trademarks and Copyrights

TeamBiz is trademark or registered trademark of TeamBiz in Canada and/or other countries. Except as otherwise permitted by law, you agree not to display or use in any manner TeamBiz trademark without the prior written consent of TeamBiz.

All other trademarks and registered trademarks are the property of their respective owners.

You acknowledge and agree that our Website contains proprietary and confidential information that is protected by applicable intellectual property and other laws. You also acknowledge and agree that content contained in sponsor advertisements or information presented to you through our Website or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as consented to by TeamBiz or advertisers in writing, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on our Website, in whole or in part.

If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide our Designated Agent the following information:

1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
2. Identification of the copyrighted work claimed to have been infringed, or if multiple copyrighted works are covered by a single notification, a representative list of such works.
3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material.
4. Information reasonably sufficient to permit the service provider to contact the complaining party, such as an address, telephone number, and if available, an electronic mail address at which the complaining party may be contacted.
5. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
6. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Indemnification

You agree to indemnify defend and hold TeamBiz harmless from any liability, loss, claim and expense, including reasonable attorney fees and expenses, related to your violation of these terms of use or your use of the Website.

Disclaimer of Warranties

All information provided on the Website (including, without limitation, postings, third party content, and any TeamBiz content) is provided "as is" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. TeamBiz does not warrant that the Website is secure, free from bugs, viruses, interruption, errors, or other limitations. You understand and agree that you bear all risks associated with using or relying on that content. TeamBiz is not liable or responsible in any way for any content posted on or linked from the community, including, but not limited to, any errors or omissions in content, or for any losses or damage of any kind incurred as a result of the use of or reliance on any content.

Limitation of liability

While we endeavour to ensure that our Website is available 24 hours a day, we shall not be liable if for any reason this website is unavailable at any time or for any period.

We do not warrant the accuracy and completeness of the material on TeamBiz website. Most of the content (including, without limitation, the postings and third party content) posted onthe Website is provided by registered third parties not affiliated with TeamBiz. Such third-party content is the sole responsibility of the person originating that content. TeamBiz does not control, and is not responsible in any way for this third-party content. Additionally, you agree that teamBiz is not liable for, and you shall indemnify and hold TeamBiz and its subsidiaries, affiliates, officers, agents, moderators, and employees harmless from any claim, including reasonable attorney's fees, made by any third party relating to or arising out of content you submit, post, transmit, or make available through the community, your use of the community, your violation of this agreement or the rules of the road or your violation of any rights of another.

TeamBiz and any of its officers, directors, employees, shareholders or agents and/or any other party (whether or not involved in creating, producing, maintaining or delivering this website) exclude all liability and responsibility for any amount or kind of loss or damage that may result to you or a third party (including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data, contracts, use of money, or loss or damages arising from or connected in any way to business interruption, and whether in tort (including without limitation negligence), contract or otherwise) in connection with this Website in any way or in connection with the use, inability to use or the results of use of this Website, any websites linked to this website or the material on such websites, including but not limited to loss or damage due to viruses that may infect your computer equipment, software, data or other property on account of your access to, use of, or browsing this website or your downloading of any material from this website or any websites linked to this website, even if we are expressly advised of the possibility of such damages. Nothing in these terms of use shall exclude or limit TeamBiz's liability for any liability which cannot be excluded or limited under applicable law.

Dispute Resolution

The parties will attempt in good faith to resolve through negotiation any dispute, claim or controversy arising out of or relating to this Agreement including the documents it incorporates by reference, your use of our Services, Your Information, your violation of any law or the rights of a third party, or your participation in TemBiz Meetings (whether the dispute, claim or controversy is due to or arising out of your transportation to or from, attendance at, or the actions of you or third parties at these Meetings). In the event that the dispute, claim or controversy is not resolved by these negotiations, the parties select the Provincial and Federal Courts located in Ontario, Canada as the only forum in which any such dispute shall be litigated.

Please note that by agreeing to this agreement, you are: (1) waiving claims that you might otherwise have against us based on the laws of other jurisdictions, including your own; (2) irrevocably consenting to the exclusive jurisdiction of, and venue in, provincial or federal courts in Ontario over any disputes or claims you have with us; and (3) submitting yourself to the personal jurisdiction of courts located in Ontario for the purpose of resolving any such disputes or claims. Furthermore, you agree that any cause of action arising out of or related to the community must commence within one (1) year after the cause of action accrues; otherwise, such cause of action shall be permanently barred.

Our services are directed at a Canadian audience. We can not warrant that the TeamBiz Services are appropriate for users outside Canada or that use of the Website is permitted under the laws of other jurisdictions.

 

Changes to terms of use

We may revise these terms of use at any time at our own discretion and without notice by updating this posting. You should check this website from time to time to review the then current terms of use, because it is binding on you. Certain provisions of these terms of use may be superseded by expressly designated legal notices or terms located on particular pages at this website.

 

Usage Rules

Information on TeamBiz contains only business-related topics, and we are committed to maintaining a comfortable environment for all visitors. As a general rule, we encourage you to interact with other users respectfully, as you would in any public or professional arena. If you do not agree with the statements of another user, it is acceptable to engage in polite, mature debate. Any name-calling, personal attacks, harassment, and other aggressive postings or behavior are strictly prohibited and will result in suspension or termination of your memberhip account and usage of TeamBiz Website. 

We reserve the right to remove any material that does not (in our judgment) comply with our Usage Rules and to revoke posting privileges at our discretion. In most instances, Members will be warned of offending behavior and repeated warnings may result in banning. Our decisions are considered final.

1. Maintain courtesy and follow good posting etiquette. Posting with ALL CAPS, HTML tags, or excessive typographic symbols may result in your post being removed.
2. Indecent, profane, sexually explicit, obscene, or pornographic material of any kind - including masked profanity where symbols, initials, intentional misspellings, or other characters are used to suggest profane language - is strictly prohibited.
3. We do not tolerate threatening, racist, abusive, hateful, violent, or obscene language or behavior.
4. Participation in, suggesting, or encouraging any illegal activity is cause for immediate deletion and suspension of posting privileges, and may be reported to the appropriate authorities.
5. The Website should not be used to report a customer service issue with any other user's business. To get help with an issue, please contact that user's business or your Better Business Bureau. Any posts complaining about another user's business are subject to removal.
6. We encourage you to provide valuable content or links to other online resources. Before directly posting any articles, news reports, or other copyrighted material, however, make sure that you are the copyright owner of the content or that the copyright owner of the content has granted you permission to use such content consistent with the manner and purpose of your use.
7. Using the Website to distribute unauthorized copies of copyrighted material, including photos, artwork, text, recordings, designs, computer programs, or derivative works of such programs is strictly prohibited and subject to removal.
8. Do not flood or spam, or post unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, or pyramid or multi-level marketing schemes. Also, use of automated means, including spiders, robots, crawlers, data-mining tools, or other means to download data from the Website is strictly prohibited.
9. We encourage you to create business connections, but excessive commercial solicitation, requests for investors or capital, or advertising that impedes the community experience for others is not acceptable. Solicitation of pornography or pharmaceutical drugs is also not allowed.
10. Do not post any private information about yourself or your business that you do not wish to be widely available public knowledge. Telephone numbers posted to TeamBiz forums or comment will be removed. You should understand that the following optional information that you post in your member profile will be viewable to Members or all visitors of the site: Your Name, Business Name, Address, City, Province, Postal Code, Country, Company Website/URL, Phone, Cell, Fax, Years in Business, Your Bio, Your Business Description, Your Networking Objectives.
    
11. Please keep in mind that community members may claim expertise or status that they do not, in fact, possess. Thoughtful discretion should be given to all advice found on the site.
